Distinguish listed real estate investment company shares from fund units
C1T8L4 · Revised 2026-10-26
Decision and objectives
Practical task: Compare a listed property company with a restricted property fund
Objectives: Distinguish GYO company equity from GYF units; Reconcile property values debt and share value; Evaluate a discount and its possible persistence.
Required prior knowledge: C1T8L3. Classification: domestic. Revision: 2026-10-26. All fictional names, prices, rates, fees, calendars and tax schedules below are hypothetical unless explicitly identified as a dated document observation.
A listed gayrimenkul yatırım ortaklığı (GYO) is a company whose shares expose investors to its property business and financial structure. A gayrimenkul yatırım fonu (GYF) is a fund route with its own investor eligibility and exit terms. Similar property exposure does not create identical ownership, governance, liquidity, costs or taxation. Use the correct governing documents for each.
Mechanics
A GYO shareholder owns company equity, with rights under the company/security framework; the company owns or finances properties and projects under its mandate. Debt and other obligations rank before ordinary equity in a simplified economic analysis. Corporate governance, related-party transactions, development commitments, share issuance and dividend decisions can matter as much as appraised properties.
A GYF unit instead represents participation in a fund portfolio and its disclosed dealing arrangement. It does not become freely retail-accessible merely because a listed GYO is accessible. The current qualified-investor rules and any listing/transfer conditions must be checked. Company share trading and fund redemption are different exit mechanisms.
Price and return drivers
A simplified property-company equity estimate starts from property and other asset values, subtracts debt and liabilities, then divides by shares. Call it an analytical estimate, not a guaranteed liquidation amount or necessarily the accounting balance-sheet equity. Market discount = share price / analytical per-share value −1. A discount can reflect stale appraisals, expected expenses, debt, governance, tax, execution time or investor risk preferences. It need not close on a timetable useful to the investor.
Worked case
Hypothetical listed company has properties valued for this analysis at TRY 800,000,000, other assets TRY 100,000,000, debt TRY 300,000,000 and other liabilities TRY 50,000,000. Simplified equity is TRY 550,000,000. With 50,000,000 shares, estimated value is TRY 11 per share. An exchange ask of TRY 8.80 is a 20% discount. Buying 1,000 shares costs TRY 8,800 before charges.
A separate hypothetical property fund reports unit NAV TRY 11 but offers redemption only after six months' notice. A price of TRY 8.80 for the company and TRY 11 NAV for the fund cannot be compared as “one cheaper property” without aligning actual assets, liabilities, governance and cash exit. The company quote is an executable offer only for its supplied size; the fund NAV is a valuation under its rules.
Adverse case
Properties fall 20% to TRY 640,000,000 while other assets and obligations remain unchanged. Simplified equity becomes TRY 390,000,000 and per-share estimate TRY 7.80, a 29.0909% reduction from TRY 11. If the market continues to price a 20% discount, share price becomes TRY 6.24. The 1,000-share position is then TRY 6,240 before exit charges, a TRY 2,560 price loss. A prior discount did not provide an absolute floor; leverage magnified the property decline. Refinancing or new shares could change the outcome further.
Practical use
For a domestic listed GYO, read official financial statements, property appraisals, debt maturity/interest terms, project commitments, governance and KAP notices. Verify actual exchange account access, order depth and settlement. For a GYF, use fund documents and current qualification rather than company documents. Costs include company/fund-level operating and financing burdens, exchange or redemption charges, custody and investor tax. Do not adopt old tax-exemption statements from an introductory guide without current GIB/legal verification. Actual tax analysis needs income year, residence/status, acquisition dates and effective rule.
Decision boundaries
A listed company can fit liquid-market equity exposure to a researched property business, with the qualification that listed does not mean deep or stable. A property fund can fit eligible capital willing to accept its terms. Neither automatically fits a fixed short cash need. Decline a “discount closes for certain” thesis when catalysts, valuation freshness, debt and governance are missing. A difference from appraisal is a question to investigate, not a free asset owed to shareholders.
Practice and references
Exercise: hypothetical property-company assets TRY 300,000,000, debt/liabilities TRY 120,000,000 and shares 20,000,000. Answer: estimated equity TRY 180,000,000; per-share TRY 9. At price TRY 7.20, discount is 20%. If assets fall 10% with liabilities unchanged, equity falls to TRY 150,000,000 and per-share TRY 7.50, a 16.6667% decline. A continuing 20% discount gives market price TRY 6. Explain why the shareholder cannot demand redemption at TRY 9 solely because it was an analytical value.
Takeaway: a property-company share is corporate equity; a property-fund unit follows a different legal and exit framework.
