Read real estate certificate rights deadlines and project risks
C1T8L3 · Revised 2026-10-26
Decision and objectives
Practical task: Read a fictional real-estate certificate project term sheet
Objectives: Identify original-performance and sale-proceeds rights; Calculate the certificate quantity needed for a specified unit; Stress deadlines project proceeds and early-sale value.
Required prior knowledge: C1T8L2. Classification: domestic. Revision: 2026-10-26. All fictional names, prices, rates, fees, calendars and tax schedules below are hypothetical unless explicitly identified as a dated document observation.
A real-estate certificate is tied to rights in a specified project. It is not automatically a share in a diversified property company or an ordinary redeemable property fund. The investor must identify the project, represented rights, required quantity, application period, delivery conditions and alternative sale-proceeds process. The deadline can matter as much as the market price.
Mechanics
Original performance refers to obtaining the specified independent property unit under the issue terms after meeting the required certificate and application conditions. Secondary performance concerns the sale of relevant property units and distribution of resulting amounts under the governing process. Read the exact prospectus or issue document: which unit can be selected, priority/conflict procedure, additional cash/taxes, application dates, construction completion, delay remedies and security/guarantee scope.
Holding too few certificates does not automatically grant a fractional apartment that can be occupied. A listed certificate can be sold on the exchange before project completion, but price and liquidity depend on buyers. A completion undertaking, where one exists, must be distinguished from a guarantee of the investor's purchase price or profit.
Price and return drivers
Required purchase cash = number of certificates for the chosen right × executable price + charges and any additional required payments. Quantity is project-specific and may differ across independent units. Final sale-proceeds value depends on the contractual allocation and actual realizations, net of permitted costs. The early exchange price reflects time, construction, credit and liquidity risks; it need not equal an appraisal or forecast final value.
Worked case
Entirely hypothetical project: unit U requires 60,000 certificates and a valid election by the end of month 12; delivery is scheduled at month 30. Investor owns 45,000 certificates and can buy the missing 15,000 at TRY 40 each, with TRY 1,000 all-in charge: additional cash TRY 601,000. Assume no additional property-transfer taxes or charges only to isolate the quantity decision; an actual case must obtain them.
For a different investor holding 2,000 certificates bought at TRY 40, initial security cost is TRY 80,000. The fictional terms allocate final sale-proceeds cash per certificate after project expenses as follows, before investor tax/charges:
| Final project realization | Per-certificate cash | Holder cash | Gain/loss |
|---|---|---|---|
| Weak sale | TRY 30 | TRY 60,000 | −TRY 20,000 |
| Base sale | TRY 40 | TRY 80,000 | zero |
| Strong sale | TRY 50 | TRY 100,000 | +TRY 20,000 |
These are completion-date contingent outcomes, not pre-completion quotes or promised proceeds.
Adverse case
The first investor misses the month-12 election deadline. Acquiring 60,000 certificates afterward does not restore the original-performance right under the supplied hypothetical rule; read the fallback process instead. Separately, a pre-completion exchange bid falls to TRY 28. Selling the 2,000 units then realizes TRY 56,000 before charges, a TRY 24,000 loss. That price is an early-exit outcome, distinct from any row in the final-realization table. Construction delay can also postpone eventual proceeds beyond the investor's cash requirement.
Practical use
Domestic access depends on the actual issue and investor class; some routes can be public, others restricted. Verify live availability and current issue documents rather than assuming the family has an appropriate active series. Use the issuer's KAP prospectus, project reports, valuations and required notices; Borsa's brochure supplies the structural framework. Check settlement, election instruction route, issuer/performer identity and custody. Costs can include exchange spread/commission, project-permitted deductions, delivery/transfer charges and investor taxes. Actual tax requires year/status/acquisition/effective-date checks; none is assumed here.
Decision boundaries
This instrument can fit a researched project exposure or a properly funded original-performance plan. It fails a plan with insufficient certificates, uncertain extra cash, missed deadlines or a need for predictable near-term liquidity. Decline a proposed “cheap apartment” trade until all-in rights, selection conditions and completion obligations are established. A listed exit and a public-sector participant, if present, do not automatically guarantee market value.
Practice and references
Exercise: hypothetical unit right requires 25,000 certificates; investor holds 18,000; missing units ask TRY 32; all-in acquisition charge TRY 500. Answer: missing 7,000; additional cash TRY 224,500. Separately, 1,000 certificates bought at TRY 32 receive final net project cash of TRY 24, TRY 32 or TRY 40 each: final amounts TRY 24,000, TRY 32,000 and TRY 40,000, before investor tax. An early bid of TRY 27 produces TRY 27,000 and is a distinct pre-completion value.
Takeaway: project rights require sufficient units, correct instructions and the right dates.
