Decision and objectives

A security backed by many loans is not simply a bank bond with a reassuring asset list. Determine whether the investor depends on a transferred receivables pool, a general issuer obligation or both. Securitization organizes asset cash into securities with defined payment rights. Mortgage-backed describes the nature of relevant underlying loans; asset-backed can refer to other receivables.

Objectives: Trace pooled receivables into investor payments; Apply a supplied payment waterfall; Distinguish asset separation from payment certainty.

Prerequisites: C2T6L2.

Mechanics

The originator creates or sells receivables; the securitization vehicle or fund obtains eligible assets under its structure; a servicer collects payments; transaction accounts distribute cash under a waterfall. In Turkey, SPK's III-58.1 framework governs asset-backed and mortgage-backed securities and financing funds. The official text distinguishes fund assets from the founder, servicer and source entity. Asset separation does not make borrowers pay on time or remove servicing and enforcement risk.

A tranche is a class of claims with its own payment priority. Senior claims can receive cash before junior claims; junior support absorbs specified losses first. Some structures are simple pass-through arrangements without the same tranche hierarchy. Read the actual documents rather than importing a foreign securitization pattern by analogy.

Price and return drivers

Available distribution cash = collections plus permitted reserve draws or support minus expenses and higher-priority payments. Separate interest and principal buckets if the terms do so. For a simplified combined waterfall, pay expenses first, then senior due amount, then junior. A high pool face value is not equal to current cash, and a delinquent loan may ultimately recover only after a long delay.

Worked case

Hypothetical restricted TRY receivables issue: period collections TRY 1,200,000, expenses TRY 50,000, senior amount due TRY 900,000, junior amount due TRY 250,000. No reserve, external support, tax or financing costs. Available cash after expenses = TRY 1,150,000. Senior receives min(1,150,000,900,000) = TRY 900,000. Junior receives remaining TRY 250,000; both are fully paid.

Payment map: underlying borrowers → servicer collection account → permitted expenses → senior holders → junior holders. The servicer's role is operational collection and reporting; do not assume the servicer guarantees pool performance merely because it handles the money.

Adverse case

Three collection states with the same expense and priorities: at 1,200,000, senior 900,000 and junior 250,000; at 1,000,000, senior 900,000 and junior 50,000; at 700,000, senior 650,000 and junior zero. These supplied period distributions are not pre-payment market values. A security's market price can fall before a contractual shortfall because investors anticipate future losses or require more liquidity premium. Borrower prepayment can also reduce future interest even when principal loss is absent.

Practical use

The featured example assumes restricted private distribution; verify current eligibility for the actual series without importing numerical thresholds. Obtain the fund charter, issue document, asset criteria, transfer and servicing contracts, waterfall, reserve and guarantee terms, payment reports and default remedies. Match ISIN and tranche. MKK identifies domestic book-entry asset-backed and mortgage-backed instruments, but the individual issue's payment schedule and exit liquidity still require verification. Add intermediary, custody and tax costs at investor level.

Decision boundaries

Use only when the investor can explain where each payment originates and which losses reach the held tranche. Pool diversification does not remove common shocks, weak underwriting or concentrated geography. Decline when portfolio data or the priority schedule is unavailable; a rating and a pool total cannot substitute for those facts. Asset separation protects a legal boundary, not the value or timing of every receivable.

Practice and references

Exercise: hypothetical collections TRY 850,000; expenses 30,000; senior due 750,000; junior due 150,000; no reserves. Answer: available 820,000; senior receives 750,000; junior 70,000; junior shortfall 80,000 and payment coverage 46.6667%. These are current-period combined cash buckets under the supplied rule.

Takeaway: trace collections through the exact waterfall, then stress both losses and timing.
